OrdenX Judge Licence Agreement

1. Subject of the agreement

This Licence Agreement is made between Vladimir Alekseevich Ivanov, an individual entrepreneur registered in the Russian Federation (OGRNIP 324750000046810, INN 753707002016, address: 672030, Zabaykalsky Krai, Chita, 5th microdistrict, 37, apt. 18, Russian Federation), trading as OrdenX (the “Licensor”), and the person using the OrdenX Judge desktop application (the “Licensee”). It governs the grant of the right to use the application and does not displace the Terms of Use of the web platform, which apply to the Platform separately.

Installing, activating or using the application constitutes acceptance of this Agreement. If you do not agree to it, do not use the application.

2. What OrdenX Judge is

OrdenX Judge is a desktop application for judging martial arts competitions. It runs the course of a bout, collects judges' decisions, drives the scoreboard and produces protocols. It works both with and without an internet connection.

The application exchanges data with the OrdenX web platform: it receives entered participants and brackets and returns results and judges' decisions.

3. The licence granted

The Licensor grants the Licensee a simple (non-exclusive) licence to use the application for its intended purpose — judging competitions — worldwide, for the term of the licence.

The licence is carried on one hardware key (USB dongle) and is intended for judging at a single competition area: each activation is bound to the serial number of that key, which the Licensee may move between computers. Several areas require a corresponding number of licences. The number of seats stated in the licence limits how many judges may score a bout simultaneously at that area; starting a bout with more judges is refused by the application.

The term of the licence is stated when it is issued. On expiry the application stops working until it is renewed.

The licence does not transfer exclusive rights. The application is licensed for use, not sold.

4. Trial period and promotional codes

The Licensor may grant a trial period during which the application is available free of charge. A trial is granted once and may be limited in duration, number of seats and set of features.

A promo code grants a licence on the terms carried by that code: number of seats, duration and set of features. A promo code may be limited in the number of uses and may have an expiry date.

At the end of a trial the licence terminates automatically. Data already sent to the web platform is retained.

5. Restrictions

You must not: modify, decompile or disassemble the application, save where the law expressly permits; circumvent the licensing or device-binding mechanisms; transfer the licence to third parties without the Licensor's written consent; or use the application to falsify sporting results.

Circumventing the licensing mechanism is a material breach and results in immediate revocation of the licence without refund.

6. Activation and replacing a device

On activation the application reads the device serial number and sends it to the Licensor. The serial number is used solely to control the number of devices covered by the licence.

If equipment fails or is replaced as planned, the Licensee may request that the licence be re-bound by writing to hello@ordenx.ru. The Licensor will not refuse re-binding without reasonable grounds.

7. Updates and support

The Licensor may issue updates to the application. Updates are provided for the term of the licence and may change the set of features.

The Licensor does not warrant that the application is compatible with arbitrary hardware or software environments. Hardware requirements are communicated before a licence is issued.

8. Personal data during judging

During a competition the application processes participants' personal data: surname, first name, date of birth, weight category and club, together with bout results and judges' decisions.

As regards data the Licensee enters themselves during their own competition, the Licensee acts as the data controller and the Licensor as a processor acting on their instructions. The Licensee undertakes to hold a legal basis for processing participants' data, including the consent of the legal guardians of minors.

The Licensor processes such data solely to provide the application's functionality and does not use it for its own purposes.

How data is processed is described in the Privacy Policy.

9. Judging decisions and liability

The application is an instrument for recording and tallying. The outcome of a bout is decided by the judges and competition officials, not by the software. Announcing, verifying and confirming the final result is the responsibility of the organiser and the chief judge.

The Licensee must ensure the competition can proceed if the application or the equipment fails, including by keeping judges' scoring on paper. Running a competition must not depend solely on the application working.

The Licensor is not liable for the sporting, disciplinary or financial consequences of announced results, including consequences of data entry error, judging error, equipment failure, loss of connectivity or loss of unsynchronised data.

This section does not limit the Licensor's liability for wilful acts or for death or personal injury.

10. Revocation and termination

The Licensor may revoke the licence for a material breach of this Agreement, having notified the Licensee. Where revocation follows a breach, sums paid are not refunded.

The licence ends on expiry of its term, on revocation, and where the Licensee gives up its use.

Termination does not affect competition results already sent to the web platform.

11. No warranty

The application is provided “as is”. The Licensor does not warrant uninterrupted or error-free operation, fitness for the Licensee's particular purposes, or the preservation of data that has not been sent to the web platform.

The Licensor's liability is in any event limited to the amount paid for the licence for the period in which the breach occurred, except where such a limit is not permitted by law.

12. Price and payment

The price of a licence, the payment procedure and the terms of renewal and refund are set out in a separate commercial offer or invoice sent to the Licensee before the licence is issued.

Trials and licences issued against a promotional code are provided free of charge on the terms of sections 4 and 3 of this Agreement.

13. Governing law and contact

This Agreement is governed by the law of the Russian Federation. Claims should be sent to hello@ordenx.ru and are considered within 30 days.
